These Terms and Conditions (“Terms”) govern the purchase of tickets, reservations, and use of the website operated by:

(the “Venue,” “Company,” “we,” “us,” or “our”).
These Terms apply to all events held at:
Pacha New York The Great Hall Any affiliated indoor or outdoor venue operated by the Company
By purchasing a ticket, making a reservation, or entering the Venue, you agree to be legally bound by these Terms.
If you do not agree, you must not purchase tickets or attend events.
1. TICKET PURCHASE AND ENTRY
A ticket is a revocable license to attend an event and does not guarantee admission.
The Venue reserves the right to refuse entry, remove guests, cancel admission, and modify entry conditions at any time, for safety, compliance, or operational reasons.
No refund will be issued where entry is denied due to intoxication, disorderly conduct, failure to present valid ID, violation of venue rules, safety or security concerns, fraudulent or invalid tickets.
Re-entry to the Venue after exit is not guaranteed and may be restricted or prohibited at the sole discretion of management for safety, capacity control, or operational reasons.
2. AGE REQUIREMENT — STRICTLY 21+
All events are strictly: 21 YEARS OF AGE OR OLDER
Entry requires valid government-issued photo identification.
Accepted identification includes:
U.S. driver’s license State ID card Passport (U.S. or foreign) U.S. military ID
The following are NOT accepted:
Photos of IDs Expired IDs Altered IDs Copies or scans
Presenting false identification may result in immediate removal, permanent ban, and referral to law enforcement.
All identification will be verified by Venue staff at the sole discretion of management. The Venue reserves the right to deny entry to any guest whose identification cannot be verified or is reasonably suspected to be fraudulent, altered, expired, or otherwise invalid.
3. TICKET SALES AND PAYMENT
Tickets may be sold through:

The Venue is not responsible for tickets purchased through unauthorized sellers.
All prices are final and are subject to applicable taxes and service fees.
Payment authorization constitutes acceptance of these Terms.
4. TICKET REFUND POLICY
Tickets are non-refundable except in limited circumstances as set out below. If an event is cancelled and not rescheduled, customers will be entitled to receive a refund of the ticket purchase price paid. For the avoidance of doubt, the Venue shall not be responsible for any additional costs or expenses incurred by the customer in connection with the event, including but not limited to travel expenses, hotel accommodations, transportation, parking, or any third-party fees.
If an event is rescheduled, tickets will remain valid for the new date, and refunds will not be required. Similarly, if an event is relocated to another venue, tickets will remain valid for the new location, and no refund will be issued on that basis alone.
Changes to the advertised artist, DJ, performer, or event lineup may occur from time to time, and such changes shall not constitute grounds for a refund.
5. TICKET TRANSFERS
Tickets may be transferred only through authorized ticketing platforms. Unauthorized resale may result in ticket cancellation, denial of entry without refund.
6. OPTIONAL TICKET CANCELLATION INSURANCE
Customers may have the option to purchase Ticket Cancellation Insurance as an add-on at the time of ticket purchase. Where such insurance is purchased, eligibility for a refund will be determined in accordance with the terms and conditions of the applicable insurance policy. Refund approval will depend solely on the insurer’s policy requirements and assessment of the claim. The Venue does not administer, control, or guarantee the approval of any insurance claims.
7. VIP TABLES AND RESERVATIONS
All VIP table bookings and reservations shall be governed by the separate VIP Terms and Conditions, which form an integral part of, and must be read in conjunction with, these main Terms and Conditions. Guests are required to review the applicable VIP Terms and Conditions prior to confirming any VIP reservation.
8. SECURITY AND SEARCH
Entry into the Venue is conditioned upon consent to security screening, including bag inspection, metal detection, and personal search where reasonably necessary for safety purposes. Refusal to comply with security procedures will result in denial of entry without refund.
9. PROHIBITED ITEMS
Prohibited items include but are not limited to:
Weapons Illegal substances Outside food or beverages Professional recording equipment Drones Laser devices Glass containers Large bags Flags or banners Selfie sticks
The Venue may prohibit any item at its sole discretion.
10. CODE OF CONDUCT
Guests must behave respectfully. The following conduct is prohibited:
Harassment Violence Discrimination Threatening behavior Damage to property Illegal activity
Violation may result in removal without refund.
This obligation reflects the Venue’s commitment to maintaining a safe and inclusive environment consistent with the principles described in the existing venue policies.
The Venue reserves the right to remove any guest from the premises at any time if their conduct is deemed unsafe, disruptive, unlawful, or in violation of Venue policies, applicable laws, or licensing requirements. Removal may occur without warning and without refund.
11. ADA ACCESSIBILITY
The Venue complies with: The Americans with Disabilities Act (ADA).
Accessible services include Accessible entrances, Accessible seating areas, Wheelchair access, Service animal accommodation. Requests should be made in advance.
12. MEDICAL POLICY
Medical personnel are present at events. Guests requiring assistance should notify staff immediately.
Prescription medication must be in original labeled containers. Unlabeled medication may be denied entry.
13. ALCOHOL SERVICE HOURS
Alcohol service will end at the time required by applicable law or as determined by Venue management. The Venue reserves the right to cease alcohol service earlier if necessary to comply with safety requirements or licensing obligations.
14. ASSUMPTION OF RISK
Attendance at events involves inherent risks, including crowds, noise, physical movement, alcohol consumption. By attending, guests assume all risks associated with attendance.
The Venue reserves the right to refuse service of alcohol to any guest who appears visibly intoxicated or impaired. Guests who are determined by management or security personnel to be intoxicated may be denied entry or removed from the Venue without refund in order to comply with applicable laws and safety requirements.
Alcoholic beverages purchased or served within the Venue may not be removed from the premises. Guests attempting to remove alcohol from the Venue will be denied re-entry and may be removed without refund.
15. EMERGENCY AND SAFETY AUTHORITY
The Venue reserves the right to temporarily suspend operations, evacuate the premises, close the Venue, delay entry, or cancel an event when necessary to protect the safety of guests, staff, performers, or the public, or when required by law enforcement, fire safety officials, health authorities, or other government agencies.
16. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, the Venue, its owners, affiliates, employees, agents, contractors, and representatives shall not be liable for any loss, damage, cost, or expense incurred by any guest or third party arising out of or in connection with attendance at, or participation in, any event held at the Venue.
Without limitation, the Venue shall not be responsible or liable for any personal injury, illness, or harm suffered by a guest; any loss of, theft of, or damage to personal property; any misplaced or lost items; any changes to the event program, schedule, performers, or format; or the cancellation, postponement, relocation, or interruption of any event for any reason. The Venue shall further not be liable for any indirect or consequential losses, including but not limited to travel expenses, accommodation costs, transportation fees, parking charges, or any other related expenses incurred in connection with attending the event.
In all circumstances, and to the fullest extent permitted by law, the total aggregate liability of the Venue, if any, shall be strictly limited to the amount actually paid by the guest for the applicable ticket giving rise to the claim.
17. FORCE MAJEURE
To the fullest extent permitted under applicable United States law, the Venue shall not be liable or deemed in breach of these Terms and Conditions for any failure, delay, modification, interruption, or inability to perform its obligations where such failure or delay results from events or circumstances beyond the Venue’s reasonable control (each, a “Force Majeure Event”).
Force Majeure Events shall include, without limitation: severe or hazardous weather conditions; natural disasters; acts of God; fire; flood; earthquake; pandemic, epidemic, or other public health emergency; governmental orders, regulations, or restrictions; acts of terrorism; security threats; civil unrest; riots; war; labor disputes or strikes; utility, power, or communication failures; transportation disruptions; venue damage; technical failures; or the illness, injury, unavailability, or travel disruption of any artist, performer, or key personnel.
In the event of a Force Majeure Event, the Venue reserves the right, at its sole discretion and without liability, to cancel, postpone, reschedule, relocate, modify, or delay any event, performance, or related activity, in whole or in part, as reasonably necessary to address the circumstances. The Venue may also impose additional safety, operational, or security measures as required.
Guests acknowledge and agree that the occurrence of a Force Majeure Event shall not entitle them to any claim for damages, losses, or compensation, including but not limited to travel expenses, accommodation costs, transportation fees, or other incidental or consequential losses. Any refunds, credits, or exchanges, if offered, shall be provided solely at the Venue’s discretion and in accordance with applicable law and the Venue’s refund policy.
18. Photography and Media
By entering the Venue or attending any event, guests acknowledge and consent to being photographed, filmed, recorded, or otherwise captured in audio, visual, or audiovisual media by the Venue or its authorized representatives.
Guests grant the Venue and its affiliates, partners, and licensees the irrevocable right to use, reproduce, publish, display, distribute, and otherwise exploit such recordings, images, or likenesses for marketing, promotional, advertising, publicity, commercial, and archival purposes, in any media now known or later developed, worldwide and in perpetuity, without compensation, notice, or further approval.
Guests who do not wish to be photographed or recorded should notify Venue staff upon entry; however, the Venue cannot guarantee exclusion from incidental or crowd-based recordings.
19. Privacy and Data Collection
The Venue may collect, process, and store personal information in connection with ticket purchases, website usage, event attendance, and customer communications. Such information may include, without limitation:
Contact information (such as name, email address, and telephone number) Payment and billing information Device, browser, and usage information Location data and transaction history Marketing preferences and communication history
Marketing communications will only be sent where the user has provided express opt-in consent, except where otherwise permitted by applicable law. Users may withdraw consent or unsubscribe at any time.
Personal data may be shared with trusted third parties solely for legitimate business purposes, including but not limited to ticketing and event management platforms, payment processors and fraud prevention providers, security, technology, and customer service providers, affiliated companies and business partners.
All data collection, storage, and processing shall be conducted in accordance with applicable privacy and data protection laws.
20. Lost or Stolen Property
Guests are solely responsible for safeguarding their personal belongings at all times while on the premises or attending events.
To the maximum extent permitted by law, the Venue shall not be responsible or liable for any loss, theft, damage, or misplacement of personal property, including but not limited to clothing, bags, electronic devices, cash, jewelry, or other valuables, regardless of cause.
Any items found on the premises may be handled in accordance with the Venue’s lost property procedures.
21. Website Use
By accessing or using the Venue’s website or online ticketing systems, users agree to use such services only for lawful purposes and in compliance with these Terms.
Users agree not to:
Use automated systems, bots, scraping tools, or other unauthorized technology to access or purchase tickets Resell, transfer, or distribute tickets in violation of applicable law or Venue policies Engage in fraudulent, deceptive, or unauthorized transactions Interfere with, disrupt, or attempt to compromise website functionality or security Access restricted systems, data, or accounts without authorization
Any violation of these provisions may result in immediate action by the Venue, including but not limited to account suspension or termination, cancellation of tickets or reservations, denial of entry to events, reporting to law enforcement authorities, legal action to recover damages, fees, or losses.
22. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or relating to the use of the Venue, attendance at events, or use of the website shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.
All claims, disputes, or legal proceedings shall be brought exclusively in the state or federal courts located in New York County, New York, and users hereby consent to the personal jurisdiction and venue of such courts.
The Venue reserves the right, at its sole discretion and without liability, to deny entry, remove guests, delay admission, suspend services, or temporarily close operations where reasonably necessary to comply with law enforcement directives, fire and life safety requirements, public health orders, licensing conditions, security protocols, or any applicable law or governmental authority.
23. Chargeback and Fraud Policy
Customers agree to contact the Venue or its authorized ticketing provider to resolve any billing or transaction dispute prior to initiating a chargeback, payment reversal, or dispute with a financial institution.
The Venue reserves the right to investigate and challenge any chargeback or suspected fraudulent transaction. Fraudulent or abusive chargebacks may result in immediate cancellation of tickets or reservations, suspension or permanent closure of customer accounts, denial of future purchases or entry, recovery of associated fees, administrative costs, and legal expenses, and referral to law enforcement authorities where appropriate.
24. Modifications to Terms
The Venue reserves the right, at any time and in its sole discretion, to update, modify, amend, or replace these Terms and Conditions to reflect changes in operations, legal requirements, or business practices.
Any such changes shall become effective upon posting to the website or other official communication channels. Continued use of the website, purchase of tickets, or attendance at events following the posting of updated Terms constitutes acceptance of the revised Terms and Conditions.
PACHA NEW YORK — VIP TABLE & RESERVATION TERMS AND CONDITIONS
These VIP Terms and Conditions (“VIP Terms”) govern all VIP table reservations and bottle service bookings at:
Pacha New York The Great Hall
and any affiliated venues operated by AG Acquisition 1, LLC d/b/a Pacha New York (“Venue”).
By placing a VIP reservation or paying a deposit, the customer (“Guest”) agrees to these Terms.
1. Deposit Requirement
All VIP table reservations require payment of a non-refundable reservation deposit equal to fifty percent (50%) of the applicable minimum spend requirement, unless otherwise specified by the Venue in writing.
The remaining balance of the minimum spend shall be payable at the Venue on the date of the event, either prior to or during service, in accordance with the Venue’s standard payment procedures.
The deposit is required to secure and reserve the requested table and related operational resources. Guests acknowledge and agree that the deposit represents a reservation and administrative fee, covering costs incurred by the Venue in preparing for the reservation, including but not limited to staffing allocation, inventory planning, operational scheduling, and capacity management.
The deposit does not represent the purchase of alcohol or any specific product, and no alcohol is sold or transferred until service is provided in compliance with applicable law and New York State Liquor Authority regulations.
2. Minimum Spend Requirement
Each VIP table reservation is subject to a required minimum spend amount, which represents the minimum total value of food and beverage purchases to be made during the reservation period.
The minimum spend:
Applies only to eligible food and beverage purchases made at the Venue Does not include applicable sales tax Does not include gratuity Does not include administrative or service charges Must be satisfied during the scheduled reservation period
Any portion of the minimum spend that is not used during the reservation period shall be deemed consumed as a reservation commitment and shall not be refundable, transferable, or credited to future events, except where required by applicable law.
3. Cancellation Policy
VIP reservation deposits are generally non-refundable. However, as a courtesy and subject to availability, the Venue may permit a deposit to be applied as a credit toward a future event within the same operating season if the reservation is cancelled or modified at least seventy-two (72) hours prior to the scheduled reservation time.
Any such credit:
Is subject to availability and operational capacity Must be used within the same operating season Cannot be redeemed for cash May be subject to updated pricing or minimum spend requirements
The issuance of a credit is at the Venue’s reasonable discretion and does not create an ongoing entitlement to rescheduling.
4. Late Cancellation
If a reservation is cancelled less than seventy-two (72) hours prior to the scheduled reservation time, the deposit shall be retained by the Venue as liquidated damages to compensate for lost reservation opportunities and operational costs.
Late cancellation forfeiture shall apply regardless of the reason for cancellation, including but not limited to:
Weather conditions Travel delays Illness or medical issues Scheduling conflicts Changes in personal circumstances
except where a refund or accommodation is required by applicable law.
5. No-Show Policy
Failure to attend a confirmed VIP reservation without prior notice shall constitute a no-show. In the event of a no-show:
The full deposit shall be forfeited The Venue may release the reserved table The Venue may resell or reassign the reservation The Venue may reallocate staff and inventory resources
No additional notice shall be required.
6. Arrival Time
VIP tables will be held for a maximum of sixty (60) minutes after the scheduled reservation time.
If the reservation party has not arrived within sixty (60) minutes of the scheduled time, the Venue reserves the right to release the table, cancel the reservation, and retain the deposit.
This policy is necessary to maintain operational efficiency and accommodate other guests.
7. Payment Requirements
The Venue may require a valid credit card to secure a reservation and may place a pre-authorization hold for the estimated minimum spend or other charges.
The Venue reserves the right, at its reasonable discretion, to require full or partial prepayment, require an increased deposit, decline or cancel a reservation, or refuse service where payment authorization cannot be obtained.
Such actions may be taken to manage operational risk, prevent fraud, or ensure compliance with applicable law.
8. Age Requirement
All VIP reservations and entry to the Venue are strictly limited to persons twenty-one (21) years of age or older, in accordance with New York State law.
Valid government-issued photo identification is required for all guests.
The Venue reserves the right to deny entry to any individual who fails to provide acceptable identification or whose age cannot be verified.
9. Responsible Service and Intoxication
In compliance with New York State Liquor Authority regulations and applicable law, the Venue reserves the right to refuse alcohol service, limit service, remove guests, or terminate service at any time if a guest appears visibly intoxicated, engages in disorderly or unsafe conduct, violates Venue rules or policies, or poses a risk to themselves or others.
Such actions are required by law and are undertaken to protect public safety.
No refund, credit, or compensation shall be provided where service is refused or terminated for safety or legal compliance reasons.
10. Security and Entry Requirements
As a condition of entry, all guests may be subject to reasonable security measures, including identification verification, bag inspection, security screening, and compliance with safety protocols.
Failure or refusal to comply with security requirements may result in denial of entry or removal from the premises without refund, to the extent permitted by law.
11. Table Management and Operational Changes
The Venue reserves the right, at its reasonable discretion, to adjust table assignments, seating arrangements, capacity limits, or service timing as necessary to address operational, safety, or regulatory requirements.
Such adjustments shall not constitute a breach of contract and shall not entitle guests to cancellation or refund, provided the reservation can still be reasonably accommodated.
12. Force Majeure
The Venue shall not be liable for failure or delay in performing its obligations where such failure results from events beyond its reasonable control, including but not limited to government orders or shutdowns, severe weather conditions, public health emergencies, security threats, labor disputes, utility failures, artist cancellation or unavailability, and acts of God.
In the event of such circumstances, the Venue may, at its reasonable discretion, cancel, postpone, reschedule, relocate, or modify any event or reservation.
Refunds, credits, or rescheduling options, if offered, shall be provided in accordance with applicable law and the Venue’s policies.
13. Limitation of Liability
To the fullest extent permitted by applicable law, the Venue shall not be liable for any indirect, incidental, or consequential losses arising from attendance at or participation in an event, including but not limited to missed events, travel or accommodation expenses, lost or stolen property, personal injury, and event changes or interruptions.
In all circumstances, the Venue’s total liability, if any, shall be limited to the amount of the reservation deposit actually paid by the guest.
14. Chargebacks and Fraud Prevention
Guests agree to contact the Venue to resolve any billing or reservation dispute prior to initiating a chargeback or payment reversal.
Initiating a chargeback without first attempting to resolve the matter directly with the Venue may result in immediate cancellation of the reservation, suspension or restriction of future bookings, recovery of administrative, legal, and collection costs, and reporting to payment processors or relevant authorities.
The Venue reserves all rights to dispute fraudulent or abusive chargebacks.
15. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms, the reservation, or the services provided by the Venue shall be resolved exclusively in the state or federal courts located in New York, New York, and the parties hereby consent to the jurisdiction of such courts.
